Terms of Service

1. Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

When creating an account, you agree to:

• Provide accurate and current information.
• Keep your login credentials confidential.
• Accept responsibility for activity conducted through your account.
• Notify GEOsync promptly if you suspect unauthorized access or use.
• Refrain from sharing, selling, or transferring your account without our authorization.

We may require verification or take reasonable steps to protect accounts and prevent misuse.

2. Description of the Services

GEOsync analyzes publicly accessible webpage content and technical signals associated with submitted URLs to identify factors that may affect visibility within artificial intelligence and answer-engine systems.

GEOsync provides diagnostic findings and reports. EchoTune™ uses those findings to generate prioritized, actionable recommendations intended to help users improve their websites' visibility to AI engines.

EchoTune™ is a recommendation engine. It does not automatically modify, rewrite, publish, or otherwise change your website. You remain solely responsible for deciding whether and how to implement any recommendation.

We may add, remove, modify, suspend, or discontinue features of the Services as the product evolves.

3. Webpage Scans and User Submissions

You may submit website URLs and related information for analysis. You represent and warrant that:

• You are authorized to submit and analyze the webpage, URL, or content.
• Your submission and use of the Services do not violate any law, contractual obligation, or third-party right.
• You will not submit confidential, private, regulated, or sensitive information.
• You will not use GEOsync to gain unauthorized access to systems or information.

GEOsync generally analyzes publicly accessible webpage information associated with submitted URLs. Some websites may block automated access or may not be technically compatible with the Services. We do not guarantee that every submitted URL can be accessed, analyzed, or successfully reported.

4. Free Scans

GEOsync may offer an eligible user a first URL scan at no charge. Eligibility, availability, features, and limitations of free scans are determined by GEOsync and may change.

Free scans have no cash value, may not be transferred, and may not be obtained through duplicate accounts, automated activity, false information, or other attempts to circumvent eligibility limits.

GEOsync may deny or revoke free-scan access when fraud, abuse, or circumvention is suspected.

5. Prepaid Scan Credits

Paid use of the Services operates through prepaid scan credits rather than subscriptions.

Unless otherwise stated at the time of purchase:

• Each credit may be redeemed for one eligible URL scan.
• Credits must be purchased before they can be used.
• A minimum purchase may apply.
• Credits do not expire while your account and the applicable GEOsync credit service remain available.
• Credits are associated with the purchasing account and may not be resold, transferred, exchanged, or redeemed for cash.
• Credit pricing and the features included with a paid scan will be displayed before purchase and may change for future purchases.
• Purchasing credits does not guarantee the continued availability of any particular feature or third-party service.

There are no recurring subscription charges unless GEOsync introduces an optional recurring service and you separately and expressly agree to it.

6. Payments and Refunds

Payments are processed by a third-party payment provider. You agree to provide accurate billing information and authorize the provider to charge the payment method selected at checkout.

Except where required by law or expressly stated otherwise:

• Purchases of credits are final and non-refundable.
• Used credits cannot be refunded.
• Credits have no monetary value outside the Services.
• Taxes and similar governmental charges may be added where applicable.

If a paid scan cannot be completed because of a verified GEOsync system failure, GEOsync may, at its discretion, restore the affected credit or provide another reasonable remedy. A website's blocking, incompatibility, unavailability, or lack of analyzable content does not necessarily constitute a GEOsync system failure.

7. AI-Generated Findings and Recommendations

The Services use artificial intelligence and automated systems to generate certain findings and EchoTune™ recommendations.

You acknowledge that these outputs:

• May be incomplete, inaccurate, outdated, or unsuitable for your particular website or circumstances.
• Are provided for informational purposes and require independent review and judgment.
• Do not guarantee improved rankings, traffic, visibility, revenue, performance, or inclusion in any AI engine or search platform.
• Are not legal, financial, security, accessibility-certification, or other professional advice.

You are solely responsible for reviewing, testing, and deciding whether to implement any finding or recommendation. GEOsync is not responsible for changes you make to your website or the results of those changes.

8. Acceptable Use

You may not use the Services to:

• Violate any applicable law, regulation, contract, or third-party right.
• Analyze websites or content without appropriate authorization.
• Submit malicious code, credentials, personal data, or sensitive information.
• Probe, scan, attack, disrupt, overload, or circumvent the security or operation of the Services or another system.
• Access internal networks, restricted resources, or nonpublic systems.
• Reverse engineer, decompile, copy, scrape, or attempt to derive the source code or underlying models of the Services, except where such restrictions are prohibited by law.
• Use bots, scripts, duplicate accounts, or deceptive methods to obtain unauthorized free scans or credits.
• Resell, sublicense, or commercially redistribute the Services, reports, recommendations, or credits without written permission.
• Use the Services to develop or improve a competing product or service through systematic extraction or copying.
• Impersonate another person or misrepresent your identity or authority.
• Interfere with another user's access to the Services.

We may investigate suspected violations and restrict or suspend access when reasonably necessary to protect GEOsync, its users, service providers, or third parties.

9. Your Content and License

You retain ownership of the URLs, information, and other materials you submit to the Services ("User Content").

You grant GEOsync a limited, non-exclusive, worldwide, royalty-free license to access, process, reproduce, and transmit User Content only as reasonably necessary to:

• Provide requested scans, reports, and recommendations.
• Operate, secure, troubleshoot, and improve the Services.
• Prevent fraud, abuse, and technical failures.
• Comply with legal obligations.

You are responsible for your User Content and for having all permissions necessary to submit it.

10. GEOsync Intellectual Property

The Services, including their software, design, branding, interfaces, reports, scoring methods, documentation, and other proprietary materials, are owned by GEOsync or its licensors and are protected by applicable intellectual-property laws.

GEOsync, EchoTune™, and associated names, logos, and branding may not be used without authorization.

Subject to these Terms, GEOsync grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal personal or business purposes.

No ownership rights are transferred to you under these Terms.

11. Third-Party Services

The Services rely on third-party providers for functions such as hosting, payment processing, analytics, communications, security, and artificial-intelligence processing.

GEOsync does not control and is not responsible for third-party websites, platforms, services, availability, policies, or conduct. Your use of third-party services may be governed by separate terms and privacy policies.

12. Privacy

Our collection and use of personal information are described in the GEOsync Privacy Policy. By using the Services, you acknowledge that you have reviewed that policy.

13. Service Availability and Changes

We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation.

Access may be delayed, limited, or unavailable because of maintenance, security concerns, technical failures, third-party outages, website restrictions, changes to external platforms, or circumstances beyond our reasonable control.

We may modify, suspend, or discontinue all or part of the Services. If GEOsync permanently discontinues the prepaid credit service while users have unused purchased credits, GEOsync will determine an appropriate remedy consistent with applicable law.

14. Suspension and Termination

You may stop using the Services at any time.

GEOsync may suspend, restrict, or terminate your account or access if we reasonably believe that:

• You violated these Terms.
• Your activity creates legal, security, operational, or reputational risk.
• Your account is involved in fraud, abuse, or unauthorized activity.
• Suspension is required by law or a service provider.
• Fees or chargebacks remain unresolved.

Termination does not entitle you to a refund of used credits or credits obtained through fraud, abuse, or violation of these Terms.

Provisions that by their nature should survive termination will remain effective, including provisions concerning ownership, disclaimers, liability, indemnification, disputes, and accrued payment obligations.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

GEOsync disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and results.

GEOsync does not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• Every website can be accessed or analyzed.
• Reports, scores, findings, or recommendations will be complete or accurate.
• Use of the Services will improve visibility, rankings, traffic, revenue, or business performance.
• Any AI engine, search platform, or third party will recognize or act upon changes made in response to the Services.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOsync AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOsync'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO GEOsync DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
• $100.

These limitations apply regardless of the legal theory asserted and even if GEOsync was advised that damages were possible.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GEOsync and its affiliates, officers, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys' fees, arising from or related to:

• Your use or misuse of the Services.
• Your User Content.
• Your violation of these Terms or applicable law.
• Your infringement or violation of another person's rights.
• Changes you make based on a GEOsync finding or EchoTune™ recommendation.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Bexar County, Texas. You consent to the personal jurisdiction and venue of those courts.

19. Changes to These Terms

We may update these Terms periodically. When we do, we will revise the "Last updated" date and post the updated Terms on this page.

If a change is material, we may provide additional notice through the Services or by email. Your continued use of the Services after updated Terms become effective constitutes acceptance of those changes.

20. General Terms

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

Assignment

You may not assign or transfer these Terms without GEOsync's written consent. GEOsync may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or operation of law.

No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

Force Majeure

GEOsync is not responsible for delays or failures caused by circumstances beyond its reasonable control.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and GEOsync concerning the Services and supersede prior agreements concerning the same subject matter.
